    Certain areas of the Web and/or Market4free.com Services are provided solely to registered users. If registration is requested, you agree to provide current, complete, accurate identification, contact and other required information as part of the registration process and/or continued use of the Web and/or Market4free.com Services. It is your responsibility to inform Market4free.com of any changes to that information. To begin the registration process, you must submit a complete sign-up application through the Web. We will evaluate your application and notify you of its acceptance or rejection. You are responsible for preventing such unauthorized use. If you believe there has been unauthorized use, you must notify Market4free.com immediately by contacting our support department. If you are registering on behalf of a Corporation, you represent that you have the authority to act on behalf of such Corporation, and that all information you provide to us, including but not limited to, the registration application and all other information about your Corporation provided in connection with the Web and/or Market4free.com Services, will be accurate, complete and current.

    ALL REGISTERED USERS MUST BE OF LEGAL AGE IN THEIR JURISDICTION TO REGISTER.

    Market4free.com maintains strict on-line Privacy Policy and will not sell or give your information to other parties.

    You represent and warrant that you are of legal age of majority of your jurisdiction and that you have the legal capacity to form a binding contract and are not a person barred from receiving services under the laws of the United States and/or other applicable jurisdictions.     Upon completing the registration, you must select a username ("ID") and password that will allow you to access your Market4free.com account (via our Web) and update your profile information. You must be logged into the Web, using your ID and password, to access your account. You may check your account status at any time you are able to access the Web. You authorize Market4free.com to act on instructions received under your ID and password, and you are fully responsible for all transactions and other activities that occur under your ID, password, and/or account and for restricting access to your computer. For security purposes, it is recommended that you memorize your password, and do not write it down. You are responsible for keeping your ID, password, and other account information confidential.   9. 9. User Conduct

    You agree to use the Web and/or Market4free.com Services only for purposes that are legal, proper and in accordance with this Conditions of Use and any other applicable policies or guidelines. By way of example, and not as a limitation, you expressly agree that when using the Web and/or Market4free.com Services, you will not:

    (a) defame, abuse, harass, stalk, threaten or otherwise violate the legal rights such as of privacy and publicity of others;

    (c) upload, post, email or transmit or otherwise make available any content that is pornographic or depicts a human being engaged in actual sexual conduct including but not limited to (i) sexual intercourse, including genital-genital, oral-genital, anal-genital, or oral-anal, whether between persons of the same or opposite sex, or (ii) bestiality, or (iii) masturbation, or (iv) sadistic or masochistic abuse, or (v) lascivious exhibition of the genitals or pubic area of any person;
    (d) harm legal minors in any way;
    (e) upload, post, email or transmit or otherwise make available any content that harasses, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
    (f) upload, post, email or transmit or otherwise make available any content that infringes any patent, trademark, copyright, trade secret or other proprietary right of any party, unless you are the owner of such rights or have the permission of the owner to post such content;
    (g) upload, post, email or transmit or otherwise make available messages that promote pyramid schemes, chain letters or disruptive commercial messages or advertisements, or anything else prohibited by law, this Conditions of Use or any applicable policies or guidelines;
    (h) upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," or any other form of solicitation;
    (i) upload, post, email, transmit or otherwise make available any content that constitutes or contains any form of advertising or solicitation if posted in areas of the Web and/or Market4free.com Services which are not designated for such purposes, or emailed to our users who have not indicated in writing their permission to contact them about other services, products or commercial interests;
    (j) contact any user who has asked not to be contacted;
    (k) upload, post, email, transmit or otherwise make available any content that includes personal or identifying information about another person without that person's explicit consent;
    (l) upload, post, email, transmit or otherwise make available any content that is false, deceptive, misleading, deceitful, irrelevant, or misinformative;
    (m) upload, post, email, transmit or otherwise make available any content that promotes any illegal service, product or the sale of any items the sale of which is prohibited or restricted by any applicable law, including without limitation items the sale of which is prohibited or regulated by International laws;
    (n) download any file posted by another that you know, or reasonably should know, that cannot be legally distributed in such manner;
    (o) upload, post, email or transmit or otherwise make available any content that utilizes misleading email addresses, or sham headers or otherwise manipulated identifiers in order to mask the origin of content transmitted through the Web and/or Market4free.com Services;
    (p) upload, post, email, transmit or otherwise make available any content, including without limitation, any postings, ads, items and/or services in an inappropriate category or areas on the Web and/or Market4free.com Services;
    (q) upload, post, list, email, transmit or otherwise make available a single posting, ad, item and/or service or other content in multiple quantities across various categories on the Web and/or Market4free.com Services;
    (r) impersonate another person or Corporation, or falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material;
    (s) restrict or inhibit any other user from using and enjoying the Web and/or Market4free.com Services;
    (t) upload, post, email or transmit or otherwise make available any content that violates the Fair Housing Act by stating, in any notice or ad for the sale or rental of any dwelling, a discriminatory preference based on race, color, national origin, religion, sex, familial status or handicap (or violates any state or local law prohibiting discrimination on the basis of these or other characteristics);
    (u) exploit the Web and/or Market4free.com Services for any illegal or unauthorized purpose;
    (v) collect personal data about other users for commercial, or any unauthorized or illegal purposes;
    (w) remove any copyright, trademark or other proprietary rights notices contained in or on the Web and/or Market4free.com Services;
    (x) interfere with or disrupt Web and/or Market4free.com Services or servers or networks connected to the Web and/or Market4free.com Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Web and/or Market4free.com Services;
    (y) intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
    (z) provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
    (aa) use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the Web and/or Market4free.com Services or collect information about other users for any unauthorized purpose;
    (bb) submit any content that falsely expresses or implies that such content is sponsored or endorsed by Market4free.com;
    (cc) create user accounts by automated means or under false or fraudulent pretenses;
    (dd) promote or provide instructional information about illegal activities or promote physical harm or injury against any group or individual; or
    (ee) transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.

    You acknowledge that Market4free.com shall have the right but not the obligation in its sole discretion to pre-screen, refuse, edit, delete, or move any Content that is available via the Web and/or Market4free.com Services. Without limiting the foregoing, Market4free.com shall have the right to remove any Content that violates this Conditions of Use or is otherwise objectionable. You represent and warrant that any Content submitted by you, including, without limitation, the content of your website(s), if any, your classified ads, postings, and your search listing advertisements (a) do not violate any law or regulation; (b) do not infringe in any manner any copyright, patent, trademark, trade secret or other intellectual property right of any third party; (c) do not breach any duty toward or rights of any person or Corporation including, without limitation, rights of publicity or privacy, or has not otherwise resulted in any consumer fraud, product liability, tort, breach of contract, injury, damage or harm of any kind to any person or Corporation; and (d) are not false, misleading, defamatory, libelous, slanderous, threatening or otherwise objectionable. Market4free.com does not claim ownership of any Content submitted by you to the Web or Market4free.com Services. You or your third party licensor, if any, retain all patent, trademarks and copyright to any Content you submit, post or otherwise make available on or through the Web and/or Market4free.com Services and you are responsible for protecting those rights.

    By posting, submitting, transmitting or making otherwise available any Content and other material on or through the Web and/or Market4free.com Services, you grant Market4free.com and its authorized designees and/or affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content or incorporate such Content into any form, medium, or technology now known or later developed throughout the universe. You further acknowledge and agree that we are not involved in the actual transaction(s) between buyers and sellers.   12. 12. Indemnity

    You agree to release, indemnify, defend and hold harmless Market4free.com and its directors, shareholders, designees, subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, (each, an "Indemnified Person," collectively, "Indemnified Persons") from any and all losses, damages, liabilities, payment obligations, expenses (including reasonable attorneys' fees and disbursements), claims or demands, made by any third party due to or arising out of, resulting from or relating to, without limitation:

    (a) any Content you submit, post, transmit or make otherwise available on or through the Web and/or Market4free.com Services;
    (b) your use of the Web and/or Market4free.com Services;
    (c) your connection to the Web and/or Market4free.com Services;
    (d) your breach of this Conditions of Use, including, but not limited to, any representations, warranties or covenants contained herein;
    (e) any consumer's use of your website(s), if any, or purchase or attempted purchase of any product or service from you;
    (f) your communication, correspondence or any other dealings with any third parties found on or through the Web and/or Market4free.com Services;
    (g) other users' exploitation of the information and/or Content accessed or otherwise made available from the Web and/or Market4free.com Services;
    (h) other users' actions or inactions, including things they post on the Web and/or Market4free.com Services;
    (i) any dispute(s) with one or more users of the Web and/or Market4free.com Services; or
    (j) your violation of any law or rights of others, including without limitation, any third party's intellectual property, trade secret or other proprietary rights or rights of publicity or privacy (collectively, "Claim(s)").

    You specifically waive any Claims that you may have in this behalf under any applicable law or jurisdiction. You agree to use counsel satisfactory to us to defend each indemnified Claim. If at any time we determine that any indemnified Claim might adversely affect us, we reserve the right to take control of the defense at your expense. You may not consent to the entry of any judgment or enter into any settlement without our prior written consent. This section shall survive any termination of this Conditions of Use.

  13. 13. Proprietary Rights

    You acknowledge and agree that the Content, Web and any and all necessary software used in connection with Market4free.com Services (collectively, "Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws.

    You acknowledge and agree that Market4free.com grants you a personal, limited, revocable at any time and without notice to you, non-transferable and non-exclusive license to use the object code of its Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including, without limitation, for the purpose of obtaining unauthorized access to the Web and/or Market4free.com Services.     You further acknowledge and agree that the Content contained in sponsor advertisements or information presented to you through the Web and/or Market4free.com Services or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Content, Web and/or Market4free.com Services or the other Software, in whole or in part, unless expressly authorized by Market4free.com or advertisers.

    You are granted a personal, limited, and revocable at any time and without notice to you, non-transferable and non-exclusive right to create a hyperlink to the home page of the Web, provided (a) the link does not portray Market4free.com or its products or services in a false, misleading, derogatory, or otherwise offensive and/or objectionable matter; (b) you do not remove or obscure, by framing or otherwise, any portion of the homepage; (c) you give the Market4free.com notice of such link by contacting our support department; and (d) you immediately discontinue providing links to the Web if requested by Market4free.com. If you wish to provide links to a section within the Web, you should forward your request to Market4free.com and we will notify you if permission is granted, and if so, the terms and conditions of such permission.   15. 15. Termination

    Market4free.com may, at its own and sole discretion, refuse service, remove or edit Content, terminate your access to our Web and/or Market4free.com Services and/or delete your account at any time for any reason, including, but not be limited to, (a) any breaches or violations of this Conditions of Use; (b) requests by law enforcement or other government agencies; (c) a request by you (self-initiated account deletions); (d) discontinuance or material modification to the Web and/or Market4free.com Services (or any part thereof); (e) unexpected technical or security issues or problems; (f) extended periods of inactivity; (g) engagement by you in fraudulent or illegal activities; (h) nonpayment of any fees owed by you in connection with the Market4free.com Services; and/or (i) if we believe, or have reasonable grounds to believe, that your ID or password has been stolen or otherwise compromised.
